  1. Interesting wording. Need 250 shares and two years out from doing this full time. But need due diligence and full disclosure to understand the current business and improve with proposals. So 250 shares required.
  2. On the pitch, the board have been making financial provision for its replacement as per the agreement with D&G council to the sum of £20,000 per year. As of last years accounts a provision for £120k had been made for replacement. Guess its the balance against actual replacement cost. To answer the question on Building Craftsmen in the accounts, a disclosure is made each year that they carry out significant maintenance free of charge. Apart from 2015/16 when they were paid £300,000 for construction of the new dressing rooms and £20,000 retention for works on the arena.
  3. Not overtly. The claims that Building Craftsmen are allocated revenue from the arena are not reported, however there are three separately registered companies with similar names. Would depend which one is claimed to be the ones. C Paterson is a director of Farries, Kirk and McVean Chartered Accountants. as per sign off the last accounts for Dickies Bar. Their offices are also the correspondence address for for two other companies. All in the public domain on companies house. Anyone can google 'find and update company information' and enter a company name such as Queen of the South for example! Details of annual returns, directors and directors other interests together with previous interests are published.

  5. That will be in the articles of association from 1972, 1992 and 1996. As those from '72 and '92 are archived, a copy would have to be requested. In '96 several articles were passed around share ownership. But it does stipulate that any general meeting must have the necessary quorum. That is at least 15 persons have to attend. It also stipulates that any director must hold at least 250 shares to be appointed. In essence, the current incumbents position will be subject to board approval unless the shareholders come together as a majority and serve written notice for the removal of an under performing director. The articles state the board may be made up of at least three members, but there is allowance for up to 12. However the companies act 2006 does allow for a majority of shareholders to pass a resolution in respect to removal of under performing board members. And there is room for further appointments to the board. The directors should have service level agreements. Board members have a fiduciary duty to the club. Any service level agreement will contain a clause around conflict of interest and even in the event of no service level agreement, a directors role being fiduciary will imply no conflicts. Mr Hewitson is listed as a director of 12 companies. My own personal opinion not substantiated is that it is extremely unlikely that his role at the club is anything like full time. Other than shareholders, conflict of interest would have to be proven.
  6. Companies house shows that there is an unsatisfied floating charge in favour of Hollywood Trust. Floating charges are not as simple, but think mortgage and the fact that people may think they own their home, but its actually the bank who supply the mortgage until charges are satisfied.

  14. There are guidelines and regulations that cover the installation of the pitch. This includes the sub base, the 'grass' and the infill. All are equally important. Whilst it should ensure a high standard, in practice, there are variables, who laid it, the sub base ratio used, the grade of grass specified and the infill size. The infill (ground recycled truck tyres) has to match the grass length as this is what makes the grass stand up as well as help play. But this has to be balanced with grass choice. And it has to be brushed in correctly. Usually 1-4mm stuff, but some pitches use 1mm infill. It certainly can and does go wrong in terms of this element. There are any number of suppliers and the products can be/are different. Bear in mind a well used pitch can lose between 1-2 tonnes per year!!! So keeping on top of it is essential.

  20. What's in a name anyway. We were named after a quote by a guy in 1857. Was either Queen of the South Wanderers/United but became abbreviated. QoS is fine by us all. Thanks for the input from Plymouth Argyle Rosyth Supporters.
  21. And here comes the real curve ball. Will bore everyone to tears!! We are out of the EU albeit, but the ECHA (European Chemicals Agency) has recommended the EU ban the use of the rubber infill used in artificial sports surfaces because of the 50000 tonnes of microplastic leachate released every year as well as the claims that there are still some poly aromatic hydrocarbons in some tyres which has been suggested to be a carcinogen. Michael Cain moment, not a lot of people know this, bit the rubber used is just ground down waste truck tyres! Yep, your Michelin or Continental that was used to deliver to your local supermarket ends up on football fields. If this happens and the UK follows, the alternatives have not been tested at any length. Decision should be this year. If it does happen EVERY club will be getting the grass seed out!
  22. He probably had the biggest budget in the league in his first go. I'll concede he'll be at the lower end now but he had all the advantages in his first spell. True. But Clark couldnae hit a coos erse wi a banjo until seaside. Budget was large in comparison and we brought in the likes of Mitch who was a revelation for me, Young always looked a class above and of course tan man. But prior to this the Ross County game personified what he needs to do. Forget budgets and working with reputations focus on the pitch and getting the best out of those playing. So the kids came in because it was what he had. And now he HAS to work with what he has again. Just my view, but give AJ too many options and he struggles. Focus and concentrate on what is available and he seems to exceeds expectation. There are managers like that all over the place. Most famous in my book 'Big Sam'. Blows a budget but works best with pennies.
