    Check out page 6 which clarifies that there is no pre-vetting by the UKLA ( ie the FSA )

  3. RANGERS CEO EXPECTS FSA TO GREEN LIGHT SHARE FLOTATION PROSPECTUS

    Rangers investors look like receiving a cast-iron imprimatur that the Financial Services Authority has declared the club fit to go on the stock market.

    This will come, according to Rangers CEO Charles Green, when the FSA approves the upcoming share flotation prospectus.

    Rangers Top Man gave the commitment on air while being questioned on BBC regarding the re-emergence of former Ibrox owner Craig Whyte claiming he introduced the gritty Yorkshireman to D&P the administrators who sold all of the oldco Rangers assets to Sevco for £5.5 million. Amazingly Charlie, with a glint in his eye, revealed that the Ibrox property assets alone had just been revalued at £80 million.

    He gave a number of assurances on controversial issues raised by the interviewer and said: And all of the things that you are raising have got to be cleared.

    So that when the Financial Services Authority approve Rangers as being fit to go on the stock market none of these questions lie unanswered.

    So this very comforting FSA guarantee looks like another lead into gold bonanza as far as Rangers and the proposed AIM flotation is concerned, or is it?

    In 2000 the FSA took responsibility for the Listing Regime which focuses on the eligibility of securities for admission to the Official List and uses the name UK Listing Authority (UKLA) when carrying out this function.

    In this role, the FSA is a securities regulator, focused on the companies which issue the securities traded in our financial markets. However, the FSA website states: The UKLA does not have the power to make subjective qualitative judgements about a companys suitability for listing.

    OK so I get that bit but what about a share flotation on the AIM Market?

    Lets go to old friend wikipedia which states: The Official List is the list maintained by the FSA (UKLA) in accordance with Section 74(1) of the Financial Services and Markets Act 2000 (the Act) for the purposes of Part VI of the Act.

    The Official List is a list of securities issued by companies for the purpose of those securities being traded on a UK regulated market. An example of a UK regulated market is the London Stock Exchanges Main Market.

    Right thats the Main Market dealt with What about the junior AIM Market, is that a regulated market?

    Well the London Stock Exchange (LSE) created AIM with the objective of offering smaller companies the opportunity to raise capital on a market with a pragmatic approach to regulation.

    LSE further states that AIM: Under the directives that form the EUs Financial Services Action Plan, AIM is not a Regulated Market but instead falls within the classification of a Multilateral Trading Facility (MTF) as defined under the Markets in Financial Instruments Directive 2004 (MiFID).

    Wait a minute, come again! So AIM isnt a Regulated Market but are the prospectuses of companies applying to float approved by the FSA or UKLA or even LSE?

    The first bit is quite easy to answer: AIM companies and Nomads are regulated by a dedicated team at the London Stock Exchange AIM Regulation a team of professionals including lawyers, accountants and corporate financiers. Well to my untrained eye that seems to rule out the FSA and UKLA.

    But what about the LSE? This appears to be answered by the first page of a companys AIM application document having to state prominently and in bold type:

    AIM is a market designed primarily for emerging or smaller companies to which a higher investment risk tends to be attached than to larger or more established companies. AIM securities are not admitted to the official list of the UKLA.

    A prospective investor should be aware of the risks of investing in such companies and should make the decision to invest only after careful consideration and, if appropriate, consultation with an independent financial adviser.

    The London Stock Exchange has not itself examined or approved the contents of this document.

    Well it appears that the FSA, UKLA and LSE dont actually vet AIM flotations and give a thumbs-up or down to the application. I know that will bring great sorrow to many of my fellow internet bampots icon_sad.gif?m=1129645325g

    But I cannot rest on my laurels as I may have missed vital evidence or misinterpreted what I have read and am well aware of how experienced Charlie is at floating companies.

    So I think it best to have the FSA to actually confirm what the correct position is as it could have a direct bearing on whether football fans purchase shares or not. I doubt if it will affect the judgement of institutional investors who probably already know the answer to my question.

    And if anyone out there does know then I will be happy to hear the answer which might set a lot of minds at rest and actually boost the amount raised for Charlies Rangers which Im sure would please him.

    The only benefit Green gets from an AIM listing is a potential 75% reduction in Corporation tax - ie Rangers fucck Hector up the arse again

    In Greens STV interview tonight he rambled on about the transparency that Sevco will be subject to as they will have to satisfy FSA inspections. I'm no expert - but isn't that another chunk of misinformation from Mr Green? AIM isn't part of the FSA's remit?

    The AIM angle looks to simply be another attempt to shaft Hector by slashing their CT bill by 75%.

  6. ALLY McCOIST is set to make three more signings as he continues to build his squad before a 12-month signing embargo kicks in on September 1.

    The manager revealed today that he is hopeful of capturing former St Johnstone striker Francisco Sandaza after productive talks over the weekend.

    He is also hopeful that an agreement can be reached with Brazilian centre back Emilson.

    And McCoist also indicated that a deal is set to be done with former Hearts and Scotland striker Kevin Kyle.

    Sandazas representatives had meetings over the weekend while discussions have also started with Emilsons people after a couple of days training with the Light Blues.

    Kyle has also been training with Rangers and the giant striker is also close to clinching a contract.

    Rangers new owner Charles Green faces company name problems

    By Martin ConaghanBBC ScotlandBBC Scotland has learned that Charles Green's Sevco 5088 company is not currently permitted to inherit the name 'The Rangers Football Club'.

    Any attempt to adopt the name 'The Rangers Football Club' would require the approval of the liquidators, BDO.

    Companies House has said that a name change application has not been made by Sevco 5088, and may not be possible.

    The consortium claims the full company name has already been transferred over by the administrators Duff & Phelps.

    'The Rangers Football Club P.L.C.', which has the registered company number SC004276, has not yet been dissolved, but will inevitably be liquidated due to unpaid debts.

    BBC Scotland can confirm that the company's liquidators, BDO, have not yet taken control of the company's affairs, and may not do so for some time.

    Companies House spokespersonGreen's consortium confirmed to BBC Scotland that a purchase of the assets and intellectual property of The Rangers Football Club P.L.C. has been concluded with the administrators Duff & Phelps, which includes the company name.

    A Rangers spokesman told BBC Scotland: "The administrators have already given their approval for the name change and the process will be completed shortly.

    "The company name was part of the assets of the company which was sold to Charles Green's consortium."

    The spokesman also said any regulatory problems related to changing Sevco 5088's name to The Rangers Football Club Ltd are not currently an issue because liquidation of the old company has not yet commenced.

    However, a Companies House spokesperson told BBC Scotland: "Sevco 5088 would not be able to apply to change its name to 'The Rangers Football Club Ltd' until either the original company is fully dissolved, a process which can take about a year to complete, or the receivers give the go-ahead for the name change to take place.

    "From a regulations standpoint, once the receivers or the liquidators/administrators for the current PLC agree to a name change, Sevco 5088 could then apply to change its name to 'The Rangers Football Club Ltd'.

    "If they apply without following this procedure, systems are in place to flag up names which are too similar."

    Article 10.7 of the Scottish FA's Articles of Association states that the name of a club cannot be changed without SFA board approval, while Article 74.2 states that a club's name cannot be changed to anything linked with sponsorship.

    The Scottish Premier League has no specific regulations regarding the naming of clubs or their parent companies.

    Rangers newco spokesmanGreen's newco continues to trade under the name Sevco 5088, which has the company number 08011390, meaning it was registered in England. The sole director listed on the Companies House website is Charles Alexander Green, and while the company may trade under any name it chooses, its legal name cannot be the same or similar to another company in the register.

    The 'Sevco' prefix is a generic company name, often used by organisations which register companies on someone else's behalf. Sevco names can be registered in bulk through Companies House and renamed at a later date as long as strict naming criteria are met.

    Companies House is a government agency run by the department of business and enterprise and deals with the registration and incorporation of UK businesses. All documentation relating to limited companies, including information such as company names, directors, accounts and share allocations, must be processed through the agency.

    The proposed name for the new Rangers company is 'The Rangers Football Club Ltd'. All UK companies limited by liability via shares or guarantee must end with 'Limited' or 'Ltd.' - only public companies traded on the stock exchange can end in PLC or P.L.C.

    Shares in Rangers Football Club were suspended from the Plus Stock Exchange on 9 January.

    Other companies currently registered at Companies House with similar names include: Rangers Limited, Rangers.co.uk Limited, The Rangers FC Group Limited, Rangers Football Club of Glasgow Ltd, Rangers GB Limited and Rangers (2012) Ltd.

    Simple solution that will keep everyone happy. The liquidators offer to sanction that SEVCO use The Rangers Football Club Ltd in return for, say.....£134,000,000

  9. I'm pretty sure that many of the Gers fans who post on here see ourselves as culpable. Part of us knew we were overspending and part of us hoped, like a gambler, the next turn of the cards would make it all OK.

    Sure we were mismanaged but we, as fans, wanted more and more success. We all wanked at the "if Celtic spend a fiver we'll spend a tenner" comment.

    Dear sir/madam

    I have just been watching on BBC Alba the game between Brechin City and The Rangers.

    Can you please confirm that you will be investigating not only the television and radio footage, but also the video recording made by the police (which they were clearly shown doing) and taking action against The Rangers Football Club for the singing of banned songs.

    Your association has made it known on many an occasion that it will not stand for such bigotry and that any proof of such action would be severely dealt with. Well the proof was for all to see and hear today, not only by those at the ground, but also those watching and listening at home.

    If this is the type of behaviour that we can expect to be the norm from such fans, and not a minority today, then I am afraid that David Longmuir's statement this afternoon that The Rangers fans will be made welcome to the grounds they visit in the SFL, will be yet another ill-judged view of what is going on in Scottish football by the authoritise that are charged with looking after our national game.

  11. This is beyond a joke now. The SPL said Rangers had a prima facie case to answer, and the BBC lawyers never would have let their documentary air if they had even one ounce of doubt about the content. I think it's fair to surmise that the BBC know a lot more than they aired too.

    Why are the Scottish football authorities not laying down the law to these chunts. There should be no negotiations, no deals, no bargaining.

    Who the fcuk do Green and McCoist think they are? Someone in the SPL and SFA, get a grip of this situation.
