Hicks and Gillett (well, Mill Financial, the hedge fund who took control of Gillett's shares when he couldn't make good on a loan) elected Martin Broughton as Chairman and gave up their rights to reject offers to buy the club or sack board members. Then, when it looked like the club would be sold and they'd lose millions each, they tried to sack 2 of the 5-man board and were voted down by the other 3, which is how this court case came about.
